This Schedule forms part of the Merchant Services Agreement between Simpli Private Limited ("Simpli") and the Restaurant. Defined terms have the meaning given in the Master Terms.
1. The short version
- The platform is free. No subscription, no set-up fee, no hardware fee, no minimum spend, no lock-in.
- You pay only when you sell. Simpli charges a Simpli Fee of 1.4% + SGD 0.10 on each Completed Order (a diner order that is successfully paid), capped at SGD 2.00 per order.
- Small orders stay small. The fee scales with the bill instead of taxing every order the same: a S$4 drink pays about S$0.16.
- Big orders don't get punished. The SGD 2.00 per-order cap means a large group bill can never carry a runaway fee. The cap starts to bite above roughly SGD 136.
- It is collected automatically. The Simpli Fee is taken as a Stripe application fee at the exact moment the diner's payment is charged. There is no invoice and no separate payment step.
- The money follows the money. If an order is refunded, charged back or reversed, the Simpli Fee is reversed pro-rata, so you are effectively charged only on net paid orders.
- Price ceiling. For the first 24 months the Simpli Fee will not exceed 2.0% + SGD 0.10 per Completed Order, and the per-order cap will not exceed SGD 3.00 (Master Terms clause 5.6). Any increase requires 30 days' notice and cannot happen more than once in any 12 months.
2. The Simpli Fee
2.1 The Simpli Fee is 1.4% of the order total plus SGD 0.10, capped at SGD 2.00 per Completed Order, exclusive of GST. The fee is calculated on the order total the diner pays (your food-and-beverage sale, inclusive of your own GST and service charge) and rounded to the nearest cent.
2.2 A Completed Order is a diner order placed through the Services for which the diner's payment has been successfully charged and captured through your Connected Account. No Simpli Fee is charged on an order that is not paid (e.g. an abandoned cart or a failed payment).
2.3 The Simpli Fee never exceeds the order value, and never exceeds the SGD 2.00 per-order cap. Any change to the rate, the flat component or the cap is subject to paragraph 7 and to the 24-month ceiling in Master Terms clause 5.6.

3. How the Simpli Fee is collected
3.1 All diner payments are processed by Stripe through your Connected Account using Stripe Connect direct charges. You are the merchant of record. Funds settle directly from Stripe to your own bank account.
3.2 The Simpli Fee is set as the Stripe application fee on each charge and is deducted by Stripe and paid to Simpli at the time of the charge. Simpli never receives, holds or settles the diner's payment - Simpli only ever receives the Simpli Fee.
3.3 Stripe's own processing fees are yours. Stripe deducts its processing fees from your balance. Indicative Stripe rates at the date of this Agreement:

These are Stripe's rates, set by Stripe and subject to change under your Stripe agreement. Simpli bears no part of them.
3.4 The Simpli Fee is your cost line, not the diner's. It is never shown to, or added onto, the diner's bill.
4. Refunds, chargebacks and disputes: the fee follows the money
4.1 If a Completed Order is refunded, charged back, lost on dispute or otherwise reversed in whole or in part, Simpli will procure that the corresponding Stripe application fee is refunded pro-rata to your Connected Account. This means:
- Full refund / chargeback → the entire Simpli Fee for that order is reversed (Simpli keeps nothing).
- Partial refund → the Simpli Fee is reduced in proportion to the refunded amount.
4.2 In effect, the Simpli Fee attaches only to the net paid (non-reversed) value of a Completed Order. Simpli does not retain a Simpli Fee on a refunded, charged-back or reversed meal.
5. Worked examples
All figures in SGD. The order total is the Restaurant's own food-and-beverage sale, inclusive of the Restaurant's own GST and service charge. Stripe rates are indicative and set by Stripe.
Example A: a S$47.50 order (a typical ticket)

Simpli's fee is about 1.6% of the order value here, and is the only amount Simpli ever receives. Simpli receives nothing out of the diner's principal or out of the Stripe fee.

This is why the fee is a percentage and not a flat amount: under a flat S$0.75 model this order would have paid 19% to Simpli. It pays 4%.

Uncapped, the fee would have been S$3.60. The SGD 2.00 cap holds it at S$2.00 - about 0.8% of the bill.
6. GST treatment
6.1 The Simpli Fee is stated exclusive of GST. Simpli is not GST-registered at the date of this Agreement (its own fee turnover is below the S$1,000,000 threshold), so no GST is currently added.
6.2 If and when Simpli becomes GST-registered, GST at the prevailing rate will be added to the Simpli Fee and Simpli will issue a valid tax invoice; the net amount retained by Simpli is intended to be unchanged, and GST-registered restaurants may reclaim it as input tax.
6.3 Your own GST is your responsibility. You are solely responsible for GST and all taxes on your food-and-beverage sales and for issuing any tax invoice or receipt to your diners in your own name (see clause 6 of the Master Terms). The GST computed on the diner's order is your GST, not Simpli's.
7. Changing the fee
7.1 Simpli may change the Simpli Fee rate, the flat component, the per-order cap or the fee structure on not less than 30 days' prior written notice (email sufficing), subject to the 2.0% + SGD 0.10 rate ceiling and the SGD 3.00 per-order cap ceiling for the first 24 months, and the once-per-12-months limit in Master Terms clause 5.6.
7.2 If you do not agree to a change, you may terminate for convenience under clause 15.2 of the Master Terms before the change takes effect. You are not treated as accepting the change merely by continuing to use the Services during the notice period; only continued use after the effective date is acceptance.
7.3 There is no lock-in and no early-termination charge.
